Director KYC (DIR-3 KYC): What It Is and Why Non-Filing Is Dangerous

Among the many recurring MCA compliances for company directors, DIR-3 KYC is one of the simplest — and yet one of the most commonly missed. The consequence of missing it, however, is anything but minor: your Director Identification Number (DIN) gets deactivated, which can quietly paralyze your ability to act as a director until it’s fixed.

Here’s what every director needs to know.

What is DIR-3 KYC?

DIR-3 KYC is an annual filing requirement under the Companies Act, 2013, that requires every individual holding a DIN to verify and update their personal details with the MCA — including PAN, address, mobile number, and email ID.

It exists primarily to ensure the MCA’s director database stays accurate and current, and to prevent dormant or fraudulent DINs from remaining active without verification.

Who Needs to File It?

Every individual who holds a DIN as of 31st March of the relevant financial year must file DIR-3 KYC, regardless of whether they are:

  • Currently serving as a director in any company
  • A director in a company that is inactive or has been struck off
  • Holding a DIN but not currently associated with any company at all

This is an important point many people miss: even if you’ve resigned from all directorships, your DIN-holder obligation continues until the DIN itself is formally surrendered.

Two Types of Filing

  1. DIR-3 KYC (Form): Required for directors filing KYC for the first time, or those who need to update any of their KYC details (such as a new mobile number or address).
  2. DIR-3 KYC Web: A simplified annual confirmation for directors who have already filed the full form previously and have no changes to update — essentially a one-click confirmation of existing details.

Due Date

DIR-3 KYC must be filed annually by 30th September following the end of the financial year for which the DIN was allotted or last verified.

What Happens If You Miss the Deadline?

This is where the consequences become serious:

  • Your DIN is marked as “Deactivated due to non-filing of DIR-3 KYC” on the MCA portal
  • A deactivated DIN means you cannot sign or file any documents on behalf of any company as a director — this includes annual returns, board resolutions, and other statutory filings
  • To reactivate the DIN, you must file the DIR-3 KYC form (not the simplified web version) along with a penalty of ₹5,000
  • Until reactivation, any company where you are the sole or primary signing authority may face cascading compliance delays — annual filings, bank account operations requiring board resolutions, and other time-sensitive matters can all be affected

For a small business where the promoter-director is the only signatory, a deactivated DIN can stall day-to-day operations far more than the ₹5,000 penalty suggests.

Common Reasons Directors Miss This Filing

  • Believing that because they’ve resigned from all directorships, the obligation no longer applies
  • Confusing DIR-3 KYC with annual company filings (like AOC-4 or MGT-7), assuming their CA’s office handles it automatically without confirming the mobile/email OTP step
  • Not receiving or noticing the OTP verification requirement, since the form requires real-time OTP confirmation on the registered mobile number and email
  • Multiple directors in a company each assuming someone else is tracking the deadline

How to File DIR-3 KYC

  1. Log in to the MCA portal and access the DIR-3 KYC or DIR-3 KYC Web form, depending on whether your details have changed
  2. Verify pre-filled details against your PAN, Aadhaar, and current contact information
  3. Complete OTP verification on your registered mobile number and email ID
  4. If filing the full form (not web), attach supporting documents (address proof, identity proof) and have it digitally signed
  5. Submit and retain the acknowledgment
